These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “Customer,” “you,” or “your”) and Understandly LLC (“Understandly,” “Company,” “we,” “us,” or “our”) governing access to and use of the Understandly platform, website, applications, AI tools, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms.
Understandly provides an AI-enabled educational platform designed for homeschool families, parents, students, co-operatives, teacher groups, and other educational users. The Service may include curriculum management tools, assignment creation features, progress tracking, AI-guided learning tools, and a controlled testing environment intended to limit access to external resources during assessments.
Understandly provides tools to support learning and instructional organization. The Service is not a school, accredited institution, or licensed educational provider.
Understandly does not guarantee any educational or academic outcomes. Use of the Service does not ensure:
Educational outcomes depend on numerous factors beyond the Company's control, including user effort, instruction quality, environment, and curriculum choices.
The Service includes AI-powered features intended to assist learning through guided prompts, contextual support, and structured assistance. These tools are designed to support educational engagement, not to provide final answers or replace instruction.
You acknowledge and agree that:
Understandly may improve its AI systems using aggregated and de-identified usage data but does not use personal student data to train general-purpose AI models.
Understandly may provide a controlled testing environment designed to reduce access to external tools or applications. This feature is intended to assist in maintaining a focused testing experience. However:
Parents, guardians, and educators remain responsible for supervising assessments and student conduct.
Accounts for minors must be created and managed by a parent, guardian, or authorized educator. You agree to:
You are responsible for all activity occurring under your account.
Users may upload educational materials, assignments, curriculum content, and related data (“User Content”). You represent and warrant that:
You grant Understandly a limited, non-exclusive license to host, process, display, and use User Content solely to provide and operate the Service.
Understandly does not actively monitor all User Content and is not responsible for its legality or accuracy.
You agree not to upload:

Violations may result in suspension or termination.
The Company may provide experimental features (“Beta Features”). Beta Features are provided “as is” without warranties and may be modified or discontinued at any time.
Understandly retains all rights, title, and interest in the Service, including software, systems, AI models, and platform design. No ownership rights are transferred to users. Users receive a limited, non-transferable license to access and use the Service during their subscription.
Understandly may use aggregated, de-identified data derived from system usage to improve the Service, develop features, and conduct performance analysis. Personal student data is not sold.
Certain features require payment. Subscriptions renew automatically unless canceled before the renewal date. Fees are non-refundable except where required by law. Free trials convert to paid subscriptions unless canceled.
Understandly may suspend or terminate access for violations of these Terms. Upon termination:
The Service is designed to support compliance with student privacy laws such as FERPA, COPPA, and PPRA. Parents and educators remain responsible for obtaining required permissions.
Users agree not to disclose non-public features, system designs, or proprietary AI behaviors.
The Service is provided “as is” without warranties of any kind, including fitness for a particular purpose or uninterrupted operation.
To the maximum extent permitted by law, Understandly's total liability shall not exceed the fees paid by you in the previous twelve months. The Company is not liable for indirect or consequential damages.
You agree to indemnify Understandly against claims arising from your misuse of the Service, User Content, or legal violations.
Understandly is not liable for failures caused by events beyond its control, including outages, disasters, or internet disruptions.
Understandly may assign these Terms in connection with a merger, acquisition, or sale.
Disputes shall be resolved through binding arbitration. You waive the right to jury trials and class actions.
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.
Understandly may update these Terms. Continued use of the Service constitutes acceptance of changes.
